Terms of Service

These Terms of Service ("Terms") govern your access to and use of Baronist, the website, mobile experience, and related services operated by Baronist (collectively, the "Services"). By creating an account or otherwise using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.

You are contracting with Baronist (legal business name: "Baronist"). These Terms are between you and Baronist. Where this notice refers to "Baronist," "we," "us," or "our," it means Baronist.

Baronist is a subscription-based networking platform that connects individual real estate investors so they can find partners and explore opportunities to co-invest in properties together. Baronist is a matching and introductions service only.

Baronist is not a real estate broker, dealer, syndicator, investment adviser, escrow agent, title company, lender, or legal counsel. Baronist does not originate, structure, finance, close, or guarantee any real estate transaction, and it is not a party to any agreement you reach with another member. Any deal, partnership, or co-investment arrangement you enter into with another member is entirely between you and that member.

Baronist does not verify members' identities, financial qualifications, creditworthiness, credentials, or the accuracy of any information they share. A "Verified Investor" badge on a profile reflects only that the member has confirmed at least one completed co-investment with other members through the platform's confirmation flow and holds an average partner review rating of at least 2 out of 5 stars; it is not an endorsement, guarantee, or background check by Baronist.

You must be at least 18 years old and legally able to form binding contracts to use the Services. You represent that you are an individual investor acting on your own behalf, and not as an agent or representative of any entity, unless you truthfully represent that entity in your profile. You may not use the Services if your right to use them has been previously revoked.

You must provide accurate, current information when creating your account and profile, and keep it updated. You are solely responsible for safeguarding your password and for all activity under your account. Notify us promptly of any unauthorized use.

New members receive a complimentary trial of our Syndicate tier for a limited time. Memberships and trials are non-transferable. Trial expiration is automated; if you do not select a paid tier before your trial ends, your account reverts to the Scout (free) tier.

We may, but are not obligated to, review profiles for appropriateness. We may reject, suspend, or remove any content or account that is misleading, unlawful, abusive, or that violates these Terms.

Paid memberships (Investor, Partner, and Syndicate) are billed on a recurring monthly basis in advance until cancelled. The only financial transaction that occurs through the Services is your subscription fee — Baronist charges no deal fees, transaction fees, or commissions on any real estate activity between members.

New members receive their first month at the Syndicate level free of charge. Unless you start a paid membership before the free month ends, your account automatically moves to the free Scout level — no card is required and no charge is made.

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, applicable taxes, cancellation, and refund mechanics are governed by Paddle's Buyer Terms.

You may cancel your paid membership at any time through the billing portal linked in your account settings; cancellation takes effect at the end of the current billing period and you retain access until then. If you change membership level mid-cycle, the change applies immediately and the difference is prorated. We may change our fees with reasonable advance notice; any change applies to the next renewal after notice is given.

You agree that you will not:

• Use the Services for any unlawful, fraudulent, or deceptive purpose.
• Misrepresent your identity, finances, experience, or intentions, or post false or misleading information about any property or deal.
• Use the platform to solicit funds, offer or sell securities, or conduct any regulated financial activity. Baronist is not a funding portal and does not facilitate capital raising.
• Harvest, scrape, or collect member data; send unsolicited commercial messages; or use the Services to build a competing product.
• Attempt to bypass tier restrictions, paywalls, or rate limits, or access another member's account.
• Take any deal or conversation off-platform in a manner intended to evade Baronist's subscription model (off-platform deal-making itself is permitted and expected — using the platform solely to harvest contacts and then circumvent the service is not).

Nothing on the Services constitutes investment, legal, tax, or financial advice. Real estate co-investment carries significant risk, including the total loss of capital. You are solely responsible for conducting your own due diligence on any member, property, market, or deal, and for obtaining qualified professional advice (legal, tax, financial, and inspection) before entering into any transaction. Baronist expressly disclaims any liability for the outcome of any investment or partnership.

You retain ownership of the content you post to the Services (your "User Content"). By posting it, you grant Baronist a worldwide, non-exclusive, royalty-free license to host, store, use, display, and reproduce that content for the purpose of operating and improving the Services. You represent that you have all rights necessary to grant this license and that your User Content does not violate any law or third-party right.

Baronist does not endorse any User Content and is not responsible for its accuracy. We may remove content that violates these Terms or applicable law.

Members may post information about prospective real estate deals and, depending on tier, participate in private deal rooms. All such postings are member-generated and informational only. Baronist does not verify, vet, or warrant any deal, and is not a party to any negotiation, commitment, or closing. "Soft commitments" and similar signals expressed on the platform are non-binding indications of interest only and create no obligation on the part of any member or Baronist.

The Services, including the Baronist name, logo, software, design, and original content, are owned by Baronist and protected by intellectual property laws. These Terms grant you no right to use the Baronist name, marks, or content except as necessary to use the Services for their intended purpose.

The Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Baronist does not warrant that the Services will be uninterrupted, secure, or error-free, or that any match, introduction, or deal will result.

To the fullest extent permitted by law, Baronist and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or capital, arising out of or related to your use of (or inability to use) the Services or any interaction with another member, whether based on warranty, contract, tort, or any other theory.

You agree to indemnify and hold harmless Baronist and its officers, employees, and agents from any claim, demand, loss, or damages (including reasonable attorneys' fees) arising out of your User Content, your conduct, your violation of these Terms, or your involvement in any deal or partnership with another member.

You may close your account at any time. Baronist may suspend or terminate your access at any time, with or without cause or notice, including for violation of these Terms. Upon termination, all licenses granted by you to Baronist survive to the extent necessary to operate the Services, and the provisions that by their nature should survive (including disclaimers, limitations of liability, and indemnification) remain in effect.

We may update these Terms from time to time. We will post the revised Terms and update the "Last updated" date. Material changes will be communicated through the Services or by email. Your continued use after changes take effect constitutes acceptance of the revised Terms.

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. You and Baronist agree to resolve any dispute through binding individual arbitration (not a class action), except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights.
